BUSINESS CONTRACTS

Service agreements are contracts between PCRC and a (non-federal) client where the client will pay the PCRC to conduct services. The provision of clinical and research services fits with the missions of the University. University-based services through the PCRC nexus are more cost-effective compared to corporate CROs and include the utilization of specialized expertise of the faculty and/or specialized instrumentation. Quite often, this will include testing of certain biologics and pharmaceutical agents and other proprietary materials for the outside company (sponsor).

For the purposes of this type of agreement, services are defined as “specifically-designed” projects and are confined to those projects that provides services involving classification, diagnostics, or testing of a sponsor’s data, samples, mechanisms, procedures, or products. These services are performed using PCRC resources, including personnel, equipment, or facilities and are fully negotiable by both parties.

Confidentiality: If the service(s) contemplated under this agreement require the provision of Sponsor’s proprietary information, the terms of confidentiality shall be set forth in a Confidentiality Agreement executed by both parties.

Patent Rights: In performing a Service Agreement, the PCRC is simply involved in the provision of services involving sponsor-providing information and not in the creation of new knowledge or new technologies. Consequently, the PCRC will make no claims on patent rights regarding sponsor-owned materials or information provided for the Project.

The UCSD Office of Business Contracting services and assists PCRC scientists to collaborate and establish business relationships with outside entities to advance the UC mission of education and community services. Business Contracting assists with the following:

Laboratory Service Agreements

Pre-Clinical activities involving non-human clinical observations.

Here, the PCRC acts merely as a pair of hands to perform a service.

Examples of laboratory services include performing screening assays, reading scans, preclinical animal models or analyzing data and testing propriety substances in controlled settings.

Clinical Service Agreements

UC provides a service for a fee.

Physician providing patient care.

Consulting Agreements with Outside Organizations

Professional agreements with outside organizations.

Agreements can be for a flat fee or an hourly rate.
